Terms of Service
These Terms of Service (“Terms”) govern your use of the services provided by HogeyTech (“HogeyTech,” “we,” “us,” or “our”). By requesting, purchasing, or using our services, you agree to these Terms.
1. Services
HogeyTech provides software development, website design, IT support, consulting, domain assistance, and web hosting and maintenance (the “Services”). The specific scope of work, deliverables, pricing, and schedule for a project will be described in a proposal, estimate, statement of work, or similar document (each, a “Scope Document”).
2. Your responsibilities
You agree to:
- Provide accurate and timely information needed for us to perform the Services.
- Designate a primary contact person who can make decisions and provide approvals.
- Supply or license any content (text, images, logos, videos) you ask us to use, and confirm you have the rights to use it.
- Review and approve deliverables within a reasonable time frame after we provide them.
3. Fees and payment
- Our fees and any payment schedule will be set out in your Scope Document or invoices.
- Unless otherwise stated, invoices are due within the number of days indicated on the invoice.
- We may pause work or suspend Services if payment is significantly overdue.
- For larger projects, we may require an upfront deposit before work begins.
4. Changes to scope
Requests that add or significantly change features, functionality, or timelines may be treated as a change in scope. We will let you know if a request requires additional fees or a revised timeline before proceeding.
5. Intellectual property
- Once you have paid all amounts due for a project, you receive the rights described in your Scope Document to use the final deliverables (such as your website, application, or designs) for your business.
- HogeyTech retains ownership of our underlying tools, libraries, frameworks, and know-how used to deliver the Services. We may reuse non-confidential components in other projects.
- Third-party software, fonts, stock images, and services remain subject to their own licenses and terms.
6. Hosting, domains, and third-party services
We may recommend or help you set up third-party services such as hosting providers, domain registrars, email services, analytics tools, and payment gateways. Those services are governed by their own terms and privacy policies, and you are responsible for complying with them.
While we aim to make good recommendations and provide support, we are not responsible for outages, data loss, price changes, or other issues caused by third-party providers.
7. Support and maintenance
Ongoing support, updates, or maintenance are only included if explicitly specified in a support or maintenance plan. Otherwise, requests after project launch may be billed separately at our current rates.
8. Confidentiality
Both parties agree to treat non-public information shared during the course of a project as confidential and to use it only for the purpose of delivering or receiving the Services, unless disclosure is required by law.
9. Disclaimers
We will use reasonable skill and care in providing the Services. However, technology and the internet involve inherent risks. To the fullest extent permitted by law, the Services are provided “as is” and we do not guarantee that any website, application, or system will be uninterrupted, error-free, or completely secure.
10. Limitation of liability
To the maximum extent permitted by law, HogeyTech will not be liable for any indirect, incidental, special, or consequential damages, including lost profits, revenue, or data, even if we have been advised of the possibility of such damages.
Our total liability for any claim arising out of or relating to the Services is limited to the total amount you paid to us for the specific project or service giving rise to the claim.
11. Term and termination
Either party may terminate a project or ongoing Service with written notice, subject to any minimum terms stated in a Scope Document. If you terminate, you agree to pay for all work performed and any non-refundable third-party costs incurred up to the effective date of termination.
12. Portfolio rights
Unless you ask us in writing not to, we may display non-confidential aspects of the work we do for you (such as screenshots or public URLs) in our portfolio, marketing materials, and case studies.
13. Governing law
These Terms are governed by the laws of the state or jurisdiction where HogeyTech is primarily based, without regard to its conflict-of-law rules. Any disputes will be handled in the courts of that jurisdiction, unless otherwise agreed.
14. Changes to these Terms
We may update these Terms from time to time. When we do, we will change the “Last updated” date below. If you continue to use our Services after changes take effect, you agree to the updated Terms.
